The Securities Exchange Board of India (SEBI) on November 25, 2025, issued a Consultation paper for public comments on the Ease of doing investment - Review of simplification of procedure and standardization of formats of documents for issuance of duplicate securities certificates.
The following has been stated namely: -
• It has undertaken a review of existing procedures for issuing duplicate securities certificates and has proposed further simplification to enhance investor convenience and market efficiency.
• The review proposes standardised formats and documentation requirements for the issuance of duplicate securities, including affidavits, indemnity bonds, and letters of confirmation by issuers or RTAs.
• For cases where the value of securities does not exceed ₹ 5 lakhs, SEBI suggests relaxing requirements such as FIR/police complaint, public advertisements, and surety obligations, thus facilitating quicker issuance.
• A key requirement is that duplicate certificates shall now be issued in dematerialised form only, thereby advancing the digitisation of securities and reducing reliance on physical certificates.
• Overseas security-holders are permitted to submit a notarised or apostilled self-declaration (instead of FIR) along with address proof and a valid passport, tailoring the process for global investors.
• SEBI is seeking stakeholder comments on these proposed changes and intends to publish a final report to support its “Ease of Doing Investment” initiative, promoting efficiency and investor-friendly procedures.
