The Securities and Exchange Board of India (SEBI), on December 15, 2025, notified the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) (Sixth Amendment) Regulations, 2025. The amendment has been issued in exercise of powers conferred under Sections 11, 11A and 30 of the SEBI Act, 1992, read with Section 31 of the Securities Contracts (Regulation) Act, 1956, and shall come into force from the date of its publication in the Official Gazette.
The amendment primarily seeks to standardise and align terminology across the LODR Regulations by replacing references to “Share Transfer Agent” with “Registrar to an Issue and Share Transfer Agent”. Corresponding changes have been carried out in Regulation 7, as well as across Schedules I, II, III, VI and VII, covering disclosures, compliance requirements, and reporting formats applicable to listed entities.
By harmonising the nomenclature throughout the regulatory framework, SEBI aims to bring greater clarity, consistency, and regulatory precision in relation to the roles and responsibilities of intermediaries involved in issue management and share transfer activities. The amendment does not alter substantive compliance obligations but ensures uniform usage of terminology in line with the prevailing regulatory structure governing registrars and transfer agents.
