The Securities and Exchange Board of India (SEBI) on January 30, 2026, issued the notification regarding the Ease of Doing Investment – Special Window for Transfer and Dematerialisation of Physical Securities.
The following has been stated namely: -
• has opened a one-year special window (February 05, 2026 – February 04, 2027) for transfer and dematerialisation of physical securities bought/sold prior to April 01, 2019, including cases earlier rejected or not processed.
• Securities transferred under this window will be credited only in demat form and will be subject to a one-year lock-in, during which they cannot be transferred, pledged, or lien-marked.
• Transfers are allowed only where the original security certificate and pre–April 01, 2019 transfer deed are available; disputed cases and securities already transferred to IEPF are excluded.
• Transferees must submit original certificates, executed transfer deed, proof of purchase (if available), KYC documents, latest CML, and an undertaking-cum-indemnity; legal heirs may claim securities in case of transferee’s death.
• Listed companies/RTAs must conduct identity and signature verification, issue public advertisements where required, process complete requests within 70 days, enforce lock-in, and widely publicize the window during its validity.
