Secretarial ComplianceThe Central Depository Services (India) Limited (CDSL), on March 25, 2026, issued a communiqué informing Depository Participants (DPs) about amendments made to Chapter 2 of the DP Operating Instructions relating to account opening and the rights and obligations of Beneficial Owners and DPs. These changes have been incorporated pursuant to directions received from the Securities and Exchange Board of India (SEBI) vide its letter dated September 25, 2025.

The amendments primarily update Annexure 2.7, which lays down the framework governing the relationship between Beneficial Owners and DPs. Key provisions reiterate compliance with applicable laws, confidentiality of client information, proper account opening procedures with KYC, transparency in charges, segregation of securities, and restrictions on unauthorized pledging. It also strengthens provisions related to transfer of securities, prohibition on compulsory execution of PoA/DDPI, and issuance of account statements in physical or electronic form.

Depository Participants are advised to take note of these amendments and ensure necessary compliance. The revised Annexure has been shared in track changes mode for reference, and queries may be directed to the CDSL helpdesk through prescribed communication channels.
