The Securities Exchange Board of India (SEBI) on June 19, 2026, issued the Key decisions taken in the SEBI Board Meeting.
The following has been stated:
• It has approved a series of significant regulatory reforms across equity markets, mutual funds, alternative investment funds (AIFs), municipal bonds, securitised debt instruments, and market governance.
• Key decisions include the reintroduction of the stock exchange route for share buybacks from August 01, 2026, providing listed companies with greater flexibility in capital management. SEBI has prescribed safeguards such as promoter share lock-ins, maintenance of minimum public shareholding norms, and mandatory deployment of at least 40% of the buyback amount during the first half of the offer period.
• The Board also approved intraday borrowing for mutual fund schemes to address temporary liquidity mismatches and improve operational flexibility, while introducing measures to strengthen governance and transparency in the AIF ecosystem.
• To deepen India's debt markets, SEBI approved reforms for municipal bonds, including provisions for refinancing and pooled financing structures, and aligned the framework for securitised debt instruments with the Reserve Bank of India’s regulations. These measures are intended to broaden funding avenues for urban infrastructure and credit markets.
• The Board further approved measures to ease compliance requirements, improve capital-raising opportunities for smaller enterprises, and enhance overall market efficiency. Additionally, SEBI adopted a strengthened Code of Conduct for its members and officials, incorporating stricter conflict-of-interest and disclosure requirements to reinforce governance standards and public trust in the regulator.
