Secretarial ComplianceThe Securities and Exchange Board of India (SEBI), on July 10, 2026, notified the SEBI (Listing Obligations and Disclosure Requirements) (Second Amendment) Regulations, 2026, introducing amendments to the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The amendments come into force on the date of their publication in the Official Gazette.

The amendment substitutes Regulation 40(7) to require listed entities to comply with all procedural requirements relating to the transfer and transmission of securities as may be specified by the Board from time to time. It also amends Regulation 61(4) by replacing the reference to requirements specified in Schedule VII with a dynamic reference to requirements specified by the Board from time to time.

Further, the notification omits Clause C of Schedule VII, thereby removing the corresponding procedural provision from the Schedule. These amendments provide SEBI with greater flexibility to prescribe and update procedural requirements through directions or circulars without necessitating further amendments to the Regulations.
