The National Stock Exchange (NSE) on July 27, 2026, issued circular on Supervisory Oversight and Review of Offer for Sale (OFS) Process.
During market oversight review, gaps were identified in the handling of Offer for Sale (OFS) orders, particularly for large-value and institutional transactions. To address these issues, trading members are advised to strengthen their internal controls, improve operational procedures, and enhance risk management frameworks for OFS activities.
Key measures include implementing strict access and location controls for OFS terminals, ensuring that only authorized and registered personnel place client orders, and maintaining proper supervisory oversight, especially for institutional orders without upfront margins.
Trading members must also conduct periodic reviews of their OFS processes and upgrade controls as needed to ensure investor protection, operational efficiency, and regulatory compliance.
