CDSL notified regarding the amendments to the Chapter 8 of DP Operating Instructions

Secretarial ComplianceThe Central Depository Services (India) Limited (CDSL) on September 11, 2026, notified the amendments to Chapter 8 of the DP Operating Instructions.

The following has been stated:

• CDSL has amended Chapter 8 – Pledge/Unpledge/Invocation of its DP Operating Instructions to require the pledgor and pledgee to provide undertakings at the time of creation and invocation of a pledge. The undertaking requires compliance with the Indian Contract Act, 1872, Depositories Act, SEBI Regulations, circulars and bye-laws, and requires the pledgee to provide reasonable notice to the pledgor and comply with Sections 176 and 177 of the Indian Contract Act.

• For margin pledge/re-pledge, DPs may obtain a one-time undertaking from Trading Members/Clearing Members in the newly introduced Annexure 8.9, after which they may continue processing creation, confirmation and invocation transactions. For accounts having auto-pledge confirmation/standing instructions, a one-time undertaking may similarly be obtained from the pledgee under the new Annexure 8.10 for prospective invocations.

• The corresponding Pledge Request Form, Invocation Request Form, Margin Pledge/Re-pledge forms and invocation forms have also been amended to incorporate the undertaking requirements. CDSL has introduced Annexure 8.9 (one-time undertaking by TM/CM) and Annexure 8.10 (one-time undertaking by pledgee for auto-pledge), and DPs are required to ensure compliance.
