• The amendment introduces the definition of “specified person,” covering principals and employees of intermediaries, agents, distributors and other individuals engaged in securities market business, including employees of foreign portfolio investors and foreign venture capital investors working in India.

• It also permits qualification through courses or programmes specified by the National Institute of Securities Markets (NISM) in consultation with SEBI, alongside existing examination and continuing professional education routes.

• The amendment revises provisions governing certification validity and renewal, allowing SEBI to specify an extended period instead of the standard three-year period.

• It further replaces references to the Companies Act, 1956 with the Companies Act, 2013, and amends the SEBI (Debenture Trustees) Regulations, 1993 and SEBI (Self-Regulatory Organizations) Regulations, 2004 by replacing references to “Associated Persons” with “Specified Persons.”
